# GrooveWire Terms of Service
**Effective date:** August 6, 2026
These Terms of Service (the "Terms") govern your access to and use of the GrooveWire website, store, software, account system, community features, downloads, roadmap, marketplace features when available, and related services (collectively, the "Services"). GrooveWire is operated through the GrooveWire Store on Shopify, but any purchase you make from the GrooveWire Store is made from GrooveWire, not from Shopify.
By accessing the Services, creating an account, purchasing a license or membership, downloading GrooveWire, or otherwise using any part of the Services, you agree to be bound by these Terms and by the GrooveWire privacy and refund policies published through the store.
## 1. Eligibility and account responsibility
You must be at least the age of majority in your jurisdiction, or have valid permission from a parent or legal guardian, to use the Services.
You are responsible for providing accurate account and purchase information and for keeping your login credentials secure. You are also responsible for all activity that occurs through your account.
Accounts are personal to the registered user unless GrooveWire expressly states otherwise in writing. You may not sell, rent, transfer, sublicense, share, or otherwise assign your account, founder status, purchase entitlements, or access credentials to another person or entity.
## 2. What GrooveWire provides
GrooveWire provides software and related digital services, including a visual audio design platform for building instruments, effects, interfaces, and DAW-ready VST3 plugins, together with account services, downloads, community access, and roadmap features.
Public product descriptions, feature lists, node counts, founder tier descriptions, roadmap items, release windows, platform plans, and future marketplace references are informational and may change over time as GrooveWire develops.
GrooveWire may add, remove, improve, delay, rename, repackage, or discontinue features, products, services, roadmap items, or access tiers at any time, subject to applicable law and any express written commitments made for a specific purchase.
## 3. License grant
Unless a different license is expressly stated for a specific product, GrooveWire grants you a limited, non-exclusive, revocable, non-transferable license to install and use the purchased GrooveWire software and related downloads for your own personal use, subject to these Terms. One user per license.
GrooveWire software is licensed, not sold. Purchasing GrooveWire does not transfer ownership of the software, source code, branding, documentation, node implementations, export pipeline, website content, or any GrooveWire intellectual property to you.
You may not, except where applicable law clearly permits despite this restriction:
- Copy, redistribute, resell, lease, sublicense, or commercially exploit GrooveWire itself.
- Share accounts, serials, license credentials, or gated downloads with third parties.
- Reverse engineer, decompile, disassemble, or attempt to derive source code from any non-open-source portion of GrooveWire.
- Remove, alter, or obscure any copyright, trademark, attribution, licensing, or security notices.
- Use GrooveWire or the Services to violate law or the rights of others.
## 4. Early Access and evolving products
GrooveWire is sold and described as an Early Access product with ongoing development toward a fuller release window, including public references to development continuing through 2027/2028 full release target.
By purchasing an Early Access product, you acknowledge that features, UI, workflows, compatibility, node availability, tutorial content, community features, release timing, pricing, and supported platforms may change during development.
Statements about planned features, roadmap priorities, release timing, future Linux support, marketplace functionality, browser previews, and similar forward-looking items are goals, not guarantees, unless GrooveWire expressly states otherwise in writing for a specific offer.
## 5. Founder tiers and limited offers
GrooveWire may offer founder or limited-edition tiers, including founder access tied to a specific account, limited seat counts, discounts, community privileges, and special development-participation benefits.
Founder status, founder-event participation, discount entitlements, and similar limited-offer benefits are attached to the purchasing account and may not be transferred, resold, or split from that account unless GrooveWire gives prior written approval.
Where GrooveWire offers a benefit such as consideration of a user-submitted feature idea for development, GrooveWire retains full discretion over implementation details, technical approach, scheduling, product fit, compliance requirements, and whether multiple requests are consolidated into a broader shipped feature.
## 6. Orders, pricing, and payment
When you place an order, you are making an offer to purchase. GrooveWire may accept, reject, limit, or cancel orders at its discretion, including in cases of pricing error, suspected fraud, abuse, or suspected violation of these Terms.
Prices, discounts, promotional codes, founder seat availability, and product packaging may change at any time before your order is accepted.
You agree to provide current, complete, and accurate billing and account information for all purchases.
## 7. Refunds and effect of refund
Refunds are governed by the published GrooveWire refund policy in effect at the time of purchase.
If GrooveWire issues a refund for a license, founder tier, membership, or any other paid entitlement, GrooveWire may revoke or disable the refunded license and any related benefits, including account entitlements, downloads, dashboard access, device management, community privileges, founder status tied to that purchase, marketplace privileges tied to that purchase, or access to paid features.
Refund abuse, repeated refund behavior, chargeback abuse, payment fraud, or other misuse may result in order cancellation, account flags, purchase restrictions, suspension, or termination, subject to applicable law.
## 8. User projects and exported content
As between you and GrooveWire, you retain ownership of original content you create using GrooveWire, such as your original audio graphs, presets, interfaces, artwork you upload, exported plugin projects, and similar user-created materials, to the extent you own the rights in that content.
You are solely responsible for the legality, ownership, licensing, safety, and distribution of anything you create, upload, export, publish, sell, or share using GrooveWire.
GrooveWire does not acquire ownership of your original creative output merely because it was made with GrooveWire.
## 9. Community features and submissions
GrooveWire may provide community tools, roadmap voting, discussion threads, feature-request systems, founder events, or similar participation features, some of which may be public and some of which may require a paid account.
If you post, submit, upload, or otherwise provide feature requests, comments, screenshots, suggestions, ideas, bug reports, or other submissions, you grant GrooveWire a non-exclusive, worldwide, perpetual, royalty-free license to use, reproduce, adapt, modify, publish, display, and incorporate those submissions for operating, promoting, improving, and developing GrooveWire, without compensation unless GrooveWire expressly agrees otherwise in writing.
Do not submit anything unlawful, infringing, defamatory, abusive, malicious, deceptive, or harmful. GrooveWire may moderate, remove, restrict, or disable any submission or community access at its discretion.
## 10. Marketplace and third-party transactions
GrooveWire's public roadmap and store copy refer to a future GrooveWire Market or marketplace functionality that may be introduced later.
If GrooveWire launches a marketplace, additional seller, buyer, payout, listing, refund, moderation, revenue-share, and acceptable-use terms may apply. GrooveWire may require separate acceptance of those marketplace-specific terms before you buy, list, sell, publish, or otherwise participate in marketplace transactions.
Unless GrooveWire expressly states otherwise, GrooveWire is not responsible for third-party content, listings, compatibility claims, support promises, or representations made by marketplace participants.
## 11. Intellectual property
GrooveWire and its licensors own all rights, title, and interest in and to the Services, including the GrooveWire name, branding, logos, software, site content, graphics, text, audio, downloads, documentation, product design, and related intellectual property, except for user-owned content as described in these Terms.
No rights are granted to you except the limited rights expressly stated in these Terms.
## 12. Third-party services and compatibility
The Services may integrate with or reference third-party tools, hosts, platforms, websites, plugins, hardware, operating systems, app stores, and payment providers, including Shopify and DAWs that support VST3.
GrooveWire is not responsible for third-party products or services, or for problems caused by third-party systems, updates, removals, outages, policies, or compatibility changes.
Compatibility references to DAWs, operating systems, plugins, exporters, or third-party technologies are informational and do not guarantee uninterrupted operation in every environment.
## 13. Prohibited conduct
You may not use the Services:
- For unlawful, fraudulent, deceptive, abusive, or harmful purposes.
- To infringe intellectual property, privacy, publicity, contract, or other rights.
- To interfere with security, licensing, entitlement systems, account protections, download protections, or access controls.
- To upload malware, destructive code, or content that harms the Services or other users.
- To scrape, mine, mirror, crawl, or automate access to restricted parts of the Services in a way that imposes unreasonable load, bypasses controls, or violates stated access rules.
- To impersonate another person or misrepresent affiliation.
- To evade bans, restrictions, suspensions, purchase limits, or technical controls.
GrooveWire may investigate suspected misuse and may suspend, limit, or terminate access where reasonably necessary to protect the Services, users, or GrooveWire's rights.
## 14. Termination and suspension
GrooveWire may suspend, restrict, or terminate your access to any part of the Services, with or without notice, if GrooveWire reasonably believes you violated these Terms, engaged in fraud or abuse, created risk or potential liability, harmed other users, or interfered with the Services.
You may stop using the Services at any time. Termination does not automatically entitle you to a refund except as provided in the applicable refund policy or required by law.
Sections that by their nature should survive termination will survive, including provisions about payments due, intellectual property, limitations of liability, disclaimers, dispute terms, community submissions, and licenses needed to operate previously submitted content.
## 15. Disclaimers
To the fullest extent permitted by law, the Services and all software, downloads, content, community features, founder benefits, roadmap features, and related materials are provided "as is" and "as available," without warranties of any kind, whether express, implied, statutory, or otherwise.
GrooveWire does not guarantee that the Services will be uninterrupted, error-free, secure, available at any particular time, compatible with every system, or free of bugs, data loss, or third-party conflicts.
GrooveWire also does not guarantee that any roadmap item, feature request, founder request, planned platform support, marketplace plan, or release target will be delivered on any specific schedule unless expressly promised in writing for a particular offer.
## 16. Limitation of liability
To the fullest extent permitted by law, GrooveWire and its operators, affiliates, contractors, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, use, data, or other intangible losses arising out of or related to the Services.
To the fullest extent permitted by law, GrooveWire's total liability for any claim arising out of or relating to the Services or these Terms will not exceed the amount you paid to GrooveWire for the specific product or service giving rise to the claim during the twelve months before the event giving rise to liability.
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
## 17. Indemnity
To the fullest extent permitted by law, you agree to indemnify and hold harmless GrooveWire and its operators, affiliates, contractors, licensors, and service providers from claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your misuse of the Services, your content, your exports, your violation of these Terms, or your violation of any law or third-party right.
## 18. Governing law
These Terms are governed by the laws applicable in the jurisdiction where GrooveWire is based, without regard to conflict-of-law rules.
Any dispute not resolved informally will be brought in the courts having jurisdiction over that location, unless applicable law requires otherwise.
## 19. Changes to these Terms
GrooveWire may update these Terms from time to time by posting the revised version through the Services. The updated Terms will become effective on the stated effective date.
Your continued use of the Services after the effective date of updated Terms constitutes acceptance of the revised Terms, to the extent permitted by law.
